Terms of Service
These Terms of Service (“Terms”) govern your use of the UCP Audit website at ucp-audit.example.com and the related Shopify app (“the Service”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service description
UCP Audit provides:
- A free, browser-based UCP-readiness audit tool that scores a Shopify merchant’s public catalog against 8 fixed rules (descriptions, image alt text, variant SKUs, pricing, inventory signals, SEO basics, Schema.org / JSON-LD, and catalog size).
- A free waitlist for the full UCP Feed Shopify app, which continuously transforms a merchant’s product catalog into a UCP-compliant feed and exposes it to AI agents (ChatGPT, Google AI Mode, Perplexity, and the long tail of agentic shoppers).
- The full UCP Feed app is currently in private beta. Public availability is targeted for Q3 2026; the timing is best-effort and not guaranteed.
The free audit runs in your browser. The paid app runs as a Shopify app on a Cloudflare Worker. We do not warrant a specific ranking, placement, or commercial outcome from using the Service.
2. Eligibility
You must be a Shopify merchant (or a person authorised to act on a Shopify merchant’s behalf, e.g. an agency or contractor) and at least 18 years old to install the UCP Feed app. The free audit tool on the website is open to anyone.
3. Acceptable use
You agree not to:
- Abuse the Service, including by sending automated traffic at a rate that exceeds the documented per-IP budget or that we otherwise identify as abusive.
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Worker, the audit scoring engine, or any non-open-source component of the Service.
- Scrape or systematically copy the UCP-compliant product feeds of other merchants. Each merchant’s feed is theirs to use; cross-merchant scraping is prohibited.
- Use the Service to violate any applicable law, the Shopify Partner Program Agreement, or the terms of any third-party platform whose data you route through the Service.
- Interfere with the security or integrity of the Service, including by attempting to bypass rate limits or access controls.
4. Service availability
- Free audit tool: best-effort availability. We aim for 99 % uptime but do not commit to a formal SLA.
- Paid UCP Feed app: target 99.5 % monthly uptime, measured at the edge response. SLA credits (where applicable) are described in the in-app pricing page.
- Planned maintenance is announced at least 48 hours in advance via the in-app banner and the changelog, except in cases of security incidents where immediate action is required.
5. Fees & billing
The free audit is, and will remain, free. The UCP Feed app is sold on usage-based pricing via Shopify’s App Events API (see the App Store listing for the tier table). Billing is handled by Shopify; refunds, if any, follow Shopify’s standard dispute process.
6. Intellectual property
The Service, including the scoring rules, the Worker code, the audit UI, and the brand “UCP Audit”, is owned by us and protected by copyright and trademark law. You retain all rights to the product data you submit to the Service. We do not claim any licence to your data beyond what is needed to operate the Service on your behalf.
7. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) USD 100. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility of such damages.
We do not warrant that the Service will cause your store to be ranked, surfaced, or transacted with by any particular AI agent. Placement in AI search results is determined by the agent’s own policies and by your store’s data, not by us.
8. Warranty disclaimer
The Service is provided “as is” and “as available”, without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
9. Termination
- By you: uninstall the app from your Shopify admin at any time. The free audit tool has no account to close.
- By us: we may suspend or terminate access to the Service if you materially breach these Terms, if your use is abusive, or if we discontinue the Service with 30 days’ notice.
- Effect of termination: we will delete your waitlist entry and any other personal data we hold, subject to our standard retention windows in the Privacy Policy.
10. Governing law
These Terms are governed by the laws of [jurisdiction to be confirmed by counsel — placeholder: the State of Delaware, USA], without regard to its conflict-of-laws principles. Any dispute will be resolved in the courts of [jurisdiction], except where mandatory consumer-protection laws of your country of residence apply.
11. Changes to these Terms
We may update these Terms. Material changes will be announced on this page and, where you are an active paying customer, by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
